  1. Acceptance of Terms – By using this matchmaking service (the "Service"), you agree to these Terms and Conditions ("Terms"). Please read them carefully before proceeding.
  2. Service Description – Our Service provides introductions between entrepreneurs seeking funding ("Entrepreneurs") and venture capitalists or angel investors ("Investors"). We do not provide investment advice, brokerage services, or any recommendations regarding financial investments. However, we may offer or recommend information‑technology (IT) services, solutions, or vendors as part of our business offerings.
  3. No Securities Transactions – You expressly acknowledge and agree that our Service is solely a matchmaking and introductory platform with respect to funding opportunities. We do not facilitate, participate in, negotiate, or otherwise engage in any securities transactions or provide any brokerage or financial‑advisory services.
  4. Fees – Investors may pay a flat fee or subscription to access lists of Entrepreneurs. Our fees are not contingent upon the successful conclusion of any investment transaction.
  5. No Guarantee or Warranty – We do not guarantee or warranty the accuracy, completeness, or reliability of any information provided by Entrepreneurs or Investors. All information is provided "as is," without warranties of any kind, either express or implied. Any IT services recommended or provided are offered separately and may be governed by separate terms.
  6. Independent Assessment – Investors and Entrepreneurs must independently verify and conduct their own due diligence on any opportunity presented through the Service. You acknowledge that investments involve risk, and you agree to seek professional advice before making any investment decisions.
  7. Limitation of Liability – We shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising from your use of our Service or reliance on information provided through our platform.
  8. Indemnification – You agree to indemnify and hold harmless our Service and its owners, directors, employees, agents, and affiliates from any claims, liabilities, losses, damages, costs, or expenses arising from your use of the Service or breach of these Terms.
  9. Governing Law – These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada.
  10. Modifications – We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website, and your continued use of our Service constitutes your acceptance of the modified Terms.
